AAU Steering Committee on Technology Transfer and Intellectual Property
A Proposal

Background

Over the past several years, and in particular over the past few months, a series of government actions related to technology transfer and intellectual property has raised questions and seems to challenge assumptions about the role and responsibilities of universities in their relationships with industry. These actions include the following:

• Proposals to amend the Bayh-Dole Act, which grants title to inventions developed at universities under federal sponsorship

• A defense conversion request-for-proposal which suggests universities not be granted title to patents resulting from federally funded research performed by a consortium

• Interpretations of National Institute for Standards and Technology's Advanced Technology Program that exclude universities from holding title to intellectual property resulting from federal funding

• Congressional hearings on conflicts of interest, foreign sponsorship of research, and foreign industrial access to research results

• NIH inquiries about research agreements between universities and Industry

All of these actions suggest growing concern by the government about university-industry relationships and policies related to technology transfer and intellectual property.

During the mid-1980s, the AAU served as a clearinghouse for information on policies and practices concerning university-industry relations. Recent events suggest that the time has come to take a more active role in evaluating the consequences of certain government proposals and assisting member institutions In developing policies that are responsive to national needs, but that also protect the integrity of the institution and the science that is conducted there.

Proposal

Convene a Steering Committee of AAU Presidents and Chancellors on Technology Transfer and Intellectual Property. This Steering Committee will do the following:

1. Review and refine a general work plan approved by the Executive Committee

Il. Commission reports on the following three topics (see Attachment 1 for how these reports will be developed):

(A) Assuring the integrity of the intellectual environment on the university campus, especially as it relates to agreements and/or affiliations with industry

(B) Current law, policy, legislation and regulation related to technology transfer and intellectual property

(C) Industry goals and expectations in technology transfer agreements and programs

III. Make recommendations regarding AAU policy positions and the development of relevant documents.

PROPOSED WORK PLAN

The following work plan is designed to develop reports and materials for consideration by the AAU Steering Committee on Technology Transfer and Intellectual Property. Each of the items listed below is intended to correspond with the three specific topics outlined in the AAU proposal. The proposed reports are intended to assist the Steering Committee in making recommendations regarding AAU policy positions and the development of relevant documents.

1. Convene a Working Group of university representatives to prepare a report on assuring the integrity of the intellectual environment on the university campus. This report should focus on issues to be considered when a university enters into agreements with industry. The Working Group should develop a set of guiding principles for university/industry agreements and should focus on such issues as the free exchange of ideas, limitation of delays in publication research results or graduate student dissertations, etc. The Working Group should comprise university representatives with expertise in law, technology transfer, research administration, government relations and public affairs.

2. Prepare an assessment of current federal law, policy, legislation and regulation on technology transfer and intellectual property. The assessment should include an analysis of the impact on universities of proposed changes in law and policy. Careful review and consideration should be given to activities currently underway at GUIRR and COGR, as well as relevant work by other organizations that might be incorporated into an AAU white paper on Technology Transfer policies and laws.

3. Gain a better understanding of the goals and objectives of industry in technology transfer agreements and programs through consultation with the Council on Competitiveness and other industry-related organizations, The Council on Competitiveness has indicated it has plans to convene a group of university and industry research officials to examine current expectations and needs by the two sectors when conducting collaborative research. The results of this examination could be a useful contribution to the deliberations of the AAU Steering Committee.
